Welcome to iKennect ("iKennect", "we", "our", or "us"), a digital business card platform operated by Sapien360. By accessing or using our services (the "Services"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Services.

1. Eligibility & Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to create an account. You are responsible for the accuracy of the information you provide and for keeping your credentials confidential. You are responsible for all activity that occurs under your account.

2. Your Content & Cards

You retain ownership of the content you publish on your digital cards (name, photos, contact details, links, media — "Your Content"). By publishing, you grant iKennect a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute Your Content solely to operate and provide the Services, including delivering vCards, QR codes, NFC redirects, and Apple & Google Wallet passes.

You represent that Your Content does not infringe third-party rights, is not defamatory, and does not impersonate any person or organization.

3. Acceptable Use

You agree not to: (a) impersonate any person; (b) scrape, harvest, or bulk-download cards or contact data; (c) use the Services to send unsolicited communications (spam); (d) upload malware, illegal content, or content that infringes intellectual property; (e) interfere with or disrupt the Services; (f) reverse engineer or attempt to derive source code, except as permitted by law.

4. Custom Domains

If you connect a custom domain or subdomain, you warrant that you own or are authorized to use it. You are responsible for DNS configuration. We provide automatic SSL through our infrastructure partners. We may suspend a custom domain that violates these Terms or applicable law.

5. Wallet Passes & Distribution

Apple Wallet and Google Wallet passes are issued through our provider (Passcreator). By generating passes, you authorize us to include Your Content in the pass and to update it when you edit your card. Wallet providers may set their own terms which apply in addition to these Terms.

6. Analytics

We collect aggregate analytics about card views, saves, taps, and shares. Details are described in our Privacy Policy.

7. Fees & Subscriptions

Paid features (including custom domains, team features, and Wallet distribution) may require a subscription. Fees, billing cycles, and refund terms are shown at purchase. Fees are non-refundable except where required by law.

8. Termination

You may delete your account at any time. We may suspend or terminate your account if you materially breach these Terms or use the Services in a way that harms us, other users, or third parties. On termination, your cards will be unpublished; we may retain minimal records as required by law.

9. Intellectual Property

The Services, including all software, designs, trademarks, and content other than Your Content, are the property of iKennect / Sapien360 or its licensors and are protected by intellectual property laws.

10. DMCA / Copyright

If you believe content on the Services infringes your copyright, send a DMCA notice to legal@ikennect.com with the required information.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, iKennect's total liability for any claim arising out of the Services is limited to the fees you paid us in the 12 months before the claim, or USD 100, whichever is greater. We are not liable for indirect, consequential, incidental, or special damages.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in Delaware, except that either party may bring an action in small-claims court or seek injunctive relief.

14. Changes

We may update these Terms from time to time. Material changes will be notified via the Services or by email. Continued use after changes take effect constitutes acceptance.
